1. Acceptance of Terms
By accessing or using the MACHIVOC platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all the terms and conditions, then you may not access the platform or use any services. MACHIVOC is a B2B equipment discovery and sourcing platform designed to connect commercial buyers with equipment suppliers.
2. Platform Purpose and Role
MACHIVOC operates as an intelligence and connectivity layer. We do not own, manufacture, store, or directly sell the heavy machinery listed on the platform unless explicitly stated otherwise in a specific contract. Our role is to facilitate discovery, provide market intelligence, verify supplier identities, and assist in the procurement process.
3. User Accounts and Verification
To access certain features, such as submitting an RFQ or accessing deep market intelligence, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. MACHIVOC reserves the right to suspend or terminate accounts that provide false information or engage in fraudulent activity.
4. Equipment Listings and Supplier Information
While MACHIVOC employs a verification matrix to audit supplier identity and establish data standards, the ultimate accuracy of specific equipment listings, including condition, pricing, and availability, rests with the third-party supplier. MACHIVOC does not guarantee the mechanical condition of any equipment unless a formal MACHIVOC Inspect report has been explicitly commissioned and delivered for that specific transaction.
5. RFQs, Quotes, and Procurement
When you submit a Sourcing Request or RFQ, MACHIVOC will utilize its network to identify relevant suppliers. Any quotes provided are subject to final confirmation by the respective supplier and do not constitute a binding legal contract until formal purchase agreements are executed between the buyer and the supplier.
6. Intellectual Property
The platform and its original content, features, functionality, and intelligence algorithms are owned by MACHIVOC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not scrape, reverse-engineer, or commercially exploit the data structures provided by MACHIVOC.
7. Prohibited Use
You may use the platform only for lawful B2B procurement purposes. You agree not to use the platform:
- In any way that violates any applicable national or international law or regulation.
- To engage in price-fixing, market manipulation, or anti-competitive behavior.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
- To impersonate or attempt to impersonate MACHIVOC, a MACHIVOC employee, another user, or any other person or entity.
8. Limitation of Liability
In no event shall MACHIVOC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the platform;
- Any conduct or content of any third party on the platform;
- Any equipment purchased, rented, or leased as a result of using the platform;
- Unauthorized access, use or alteration of your transmissions or content.
9. Governing Law
These Terms are governed by the laws specified by MACHIVOC in the applicable version of these Terms, or as dictated by the specific commercial contract executed during a procurement transaction.
